How CodeB software is licensed: perpetual or subscription, what a licence allows, the optional maintenance agreement, and the intellectual-property and liability terms that apply.

In short

CodeB software is licensed, not sold. Buy a perpetual licence and own the version you have — optionally add a maintenance agreement at 20 % of the purchase price per year for ongoing version updates — or take an annual subscription with updates and support included. Every feature is enabled on every licence; licences are counted by the higher of users or machines. You may not reverse-engineer, resell or sublicense the software, and all intellectual property remains with Aloaha Limited. This chapter is a readable summary of the standard CodeB licence so administrators know what they may and may not do. It is not the full contract. Licence model

CodeB is licensed per the pricing page. There are two ways to licence, and both enable every feature — Credential Provider V2 and the companion tools — with no per-feature add-ons:

  • Perpetual licence — € 49.99 one-time per licence. Use the version you bought for as long as you like, on the licensed machines and users. It keeps running indefinitely; you simply stop receiving updates if you do not hold maintenance.
  • Annual subscription — € 19.99 per year per licence. Includes all version updates within the subscription term and support, with no separate maintenance fee. You can switch to a perpetual licence at any renewal.

List prices are for a single licence, net of VAT. CodeB is sold B2B to business customers; statutory VAT/MwSt is added at checkout where applicable. Multi-licence deployments, multi-year terms, public-sector frameworks and academic pricing are quoted on request — see pricing or contact us.

Maintenance & updates

On a perpetual licence, maintenance is optional. The optional maintenance agreement costs 20 % of the purchase price per year and covers version updates: you keep receiving new releases as they ship while the agreement is active. Without maintenance, the version you bought keeps running indefinitely — you simply stop receiving new versions.

On an annual subscription, all version updates within the term are already included; there is no separate maintenance fee.

How licences are counted

The licence count is the higher of the number of users or the number of machines in the deployment:

  • One Windows server hosting an application accessed by 100 different users requires 100 licences — users are the higher number.
  • 100 workstations on a shop floor used by 10 operators across shifts requires 100 licences — machines are the higher number.
  • Issue as many tokens per identity as you like — an NFC card plus a mobile token plus a USB backup is one licence, not three.

Apply the same rule across the whole environment: total active users versus total active machines, the larger of the two is the licence count.

Grant of licence

Subject to these terms and to payment under your order, Aloaha Limited grants you a non-exclusive, non-transferable right to install and use the CodeB Credential Provider V2 and its companion tools for your own internal business purposes, on up to the number of machines and users covered by your licence count.

You may make a reasonable number of copies for backup and deployment within your organisation, provided all copyright and licence notices are preserved.

What you may not do

Except to the extent that applicable law expressly permits it despite this restriction, you may not:

  • Reverse-engineer, decompile or disassemble the software, or otherwise attempt to derive its source code;
  • Resell, rent, lease, sublicense, redistribute or provide the software as a service to third parties without a separate written agreement with Aloaha Limited;
  • Remove, obscure or alter any copyright, trademark or licence notice;
  • Circumvent, disable or tamper with the licensing mechanism, or use the software beyond your licensed count;
  • Use the software in a way that breaches applicable law.

Intellectual property

The software is licensed, not sold. All intellectual-property rights in CodeB and the Credential Provider — including copyright, source code, design and the CodeB and Aloaha trademarks — remain the property of Aloaha Limited. No rights are granted to you except those expressly set out in these terms and your order.

The interoperability engine at the heart of Credential Provider V2 reflects two decades of smartcard-middleware work by Aloaha, recognised by the WIPO Award for Innovative Enterprises. If you send us feedback or suggestions, we may use them to improve the product without obligation to you.

Warranty & liability

The software is provided on a commercial basis to business customers. To the maximum extent permitted by applicable law, it is provided “as is” without implied warranties, and Aloaha Limited is not liable for indirect, incidental or consequential loss, lost profits or lost data. Nothing in these terms limits liability that cannot be limited by law (for example for intent or gross negligence), and the mandatory statutory rights of business customers under Maltese and EU law are unaffected.

Where liability is not excluded, it is limited, to the extent permitted by law, to the fees paid for the licence concerned in the twelve months before the event giving rise to the claim.

Term & termination

A perpetual licence is perpetual for the version you bought. An annual subscription runs for its term and renews or ends as set out in your order; an optional maintenance agreement runs annually alongside a perpetual licence.

Aloaha Limited may terminate the licence if you materially breach these terms — for example by exceeding your licensed count or by reverse-engineering the software — and the breach is not remedied within a reasonable period. On termination you must stop using and remove the software. Provisions on intellectual property, restrictions and liability survive termination.

Data protection

CodeB runs entirely on your own infrastructure. The Credential Provider has no cloud service, no telemetry and no licence-server call-home — Aloaha Limited does not receive usage data or credential data from your deployment. Token data stays in your Active Directory, on your file share or on the local machine, as described in Where token data is stored. Governing law

These terms and your licence are governed by the laws of Malta, and the courts of Malta have jurisdiction, without prejudice to any mandatory consumer or statutory protections that apply to you. Aloaha Limited is a company registered in Malta; the full operator details are in the imprint.

The signed quote or order you receive from Aloaha Limited, together with any separate licence agreement you sign, is the governing contract and prevails over this summary where they differ.
